1. Scope of Application

These Legal Documents (“Documents”) apply to all business-to-business (B2B) transactions conducted through or related to frenchfriespro.com.
We supply products exclusively for wholesale and export purposes and do not provide online retail services to individual consumers.


2. Business Customers Only

  • The Website and related services are intended for use by companies, distributors, importers, and other business entities.
  • By placing an inquiry or entering into a contract, you confirm that you are acting in a business capacity, not as a private consumer.

3. Quotations and Orders

  • All quotations are non-binding until confirmed in writing.
  • A binding order is established only after both parties sign or issue written confirmation (e.g., Purchase Order + Proforma Invoice).
  • Dinweys reserves the right to refuse any order without obligation to provide a reason.

4. Pricing and Payment

  • Prices are quoted FOB port of shipment, unless otherwise specified in the contract.
  • Payment terms will be specified in the Proforma Invoice or Sales Contract.
  • Customers are responsible for all applicable duties, taxes, and import regulations in the destination country.

5. Shipping and Delivery

  • Delivery dates are estimates and not guaranteed unless explicitly agreed in writing.
  • Risk transfers to the buyer once goods are delivered to the carrier at the port of shipment.
  • The buyer is responsible for customs clearance and import compliance.

6. Quality, Inspection and Claims

  • Products are supplied according to the agreed Sales Contract specifications.
  • The buyer must inspect goods upon receipt and notify Dinweys within 7 calendar days of any claim for:
    • Quality discrepancies
    • Quantity shortages
    • Packaging damage
  • Claims must include supporting evidence:
    • Inspection reports
    • Photos or videos
    • Copy of Bill of Lading and packing list
  • Failure to notify within the period constitutes acceptance of the goods.

7. Refunds and Returns

  • Returns are accepted only with Dinweys written authorization.
  • Returned goods must be:
    • In original packaging
    • Unused and uncontaminated
    • Transported under same shipment conditions
  • If a claim is validated, Dinweys may:
    1. Replace the goods,
    2. Issue a partial or full refund, or
    3. Offer a credit note for future orders
  • Refunds, if applicable, are processed via the original payment method.
  • Refunds/returns are not accepted for mishandled goods, customs delays, or force majeure events.

8. Limitation of Liability

  • Dinweys is not liable for indirect, incidental, or consequential damages, including loss of profit or business interruption.
  • Liability is strictly limited to replacement of goods or refund of invoiced amount, at our discretion.

9. Force Majeure

  • Dinweys is not responsible for delays or non-performance caused by circumstances beyond reasonable control:
    • Natural disasters, strikes, transport disruptions, pandemics, government restrictions.

10. Intellectual Property

  • All trademarks, product descriptions, images, and content on frenchfriespro.com are Dinweys’ intellectual property.
  • They may not be copied, used, or reproduced without prior written consent.

11. Governing Contract

  • These Documents operate in conjunction with the Sales Contract.
  • In case of conflict, the Sales Contract shall prevail.

12. Arbitration and Dispute Resolution

  • Disputes should first be resolved through amicable negotiation.
  • If unresolved within 30 days, disputes shall be submitted to arbitration:
    • Default: China International Economic and Trade Arbitration Commission (CIETAC)
    • Arbitration award is final and binding.

13. Amendments

  • Dinweys reserves the right to amend these Documents at any time.
  • Updated versions will be published on frenchfriespro.com and will apply to all future contracts.
